  1. What exact activity will be licensed? Use the authority's activity wording, not only a broad description such as consulting or trading.

Mainland: start with activity and legal form.

The UAE Government's official portal lists the standard mainland sequence: identify the activity, select a legal form, register a trade name, obtain initial approval, prepare constitutional documents where required, secure a business location, obtain added approvals and submit the licence application.

Mainland is often considered where direct local-market operations, physical premises or a broader operating footprint are central. The licence still limits what the company may do, and some activities require approvals beyond the economic department.

Free zone: compare the authority, not only the package.

Free zones differ by permitted activities, entity types, facilities, visa capacity, customs position and sector focus. The official UAE portal says applicants should first identify the sector and then select a free zone that supports it. Confirm the current rules directly with that authority.

Corporate Tax caution

A free zone licence does not by itself establish a 0% Corporate Tax result. The Federal Tax Authority applies detailed conditions to Qualifying Free Zone Persons and distinguishes Qualifying Income from other taxable income.

Offshore: confirm the registrar and registered-agent route.

“Offshore” is not one universal UAE licence category. For example, Jebel Ali Free Zone Authority states that a JAFZA offshore registration must be processed through an approved registered agent, and its regulations govern permitted activities and registered-office requirements. Other registrars have their own rules.

Before using an offshore vehicle, obtain written confirmation of its permitted purpose, banking and tax documentation, ownership disclosures, property or investment permissions, annual maintenance and whether a separate operating licence is needed.

Does a UAE free zone company automatically pay 0% Corporate Tax?

No. Free Zone entities are within UAE Corporate Tax. A Qualifying Free Zone Person can receive 0% only on Qualifying Income when all applicable conditions are met; other taxable income may be subject to 9%.

Can an offshore company operate in the UAE mainland?

An offshore structure is not a substitute for an operating trade licence. Its permitted activities and UAE dealings depend on the specific offshore authority's regulations. Confirm the activity, licensing and registered-agent requirements before forming one.
